J&A Dealer Portal Terms of Use and End-User License Agreement

This Terms of Use and End-User License Agreement (“Agreement”) is between J&A Custom Granite and Marble, LLC, doing business as J&A (“J&A,” “we,” “us,” or “our”), and each person or business that accesses or uses the J&A Dealer Portal (“User” or “you”). By accessing or using the portal, you agree to this Agreement.
1. Limited License
J&A grants you a limited, non-exclusive, non-transferable, revocable license to use the J&A Dealer Portal for legitimate business purposes, including reviewing products, receiving applicable pricing, submitting cabinet orders, making authorized payments, and monitoring order status.
2. Accounts and Authorized Users
You must provide accurate information, protect your login credentials, and use the portal only for authorized business activities. You are responsible for activity conducted through your account and must notify J&A promptly of suspected unauthorized access.
3. Orders, Pricing, and Payments
Product availability, pricing, taxes, assembly charges, delivery charges, and fulfillment terms are displayed during ordering and remain subject to J&A confirmation. J&A may correct obvious pricing, availability, or technical errors. Cabinet orders may require full payment when placed. Additional written terms supplied with an order or invoice may also apply.
4. QuickBooks Online Integration
When an authorized J&A administrator connects the portal to QuickBooks Online, the portal may exchange information necessary to create and manage customers, products, invoices, payments, taxes, and related accounting records. J&A uses this information only to operate the portal, process authorized transactions, maintain accounting records, provide support, and meet legal obligations.
J&A does not sell QuickBooks data or use it for unrelated advertising. An authorized administrator may disconnect the QuickBooks connection. Data collection, retention, protection, and deletion practices are described in our Privacy Policy.
5. Acceptable Use
You may not use the portal for unlawful, fraudulent, or unauthorized purposes; attempt to bypass security; access another user’s information; interfere with portal operation; introduce malicious software; or submit false customer, payment, delivery, or order information.
6. Ownership
The portal, its software, design, branding, and original content belong to J&A or its licensors. Product names, images, and trademarks belonging to manufacturers, Intuit, or other third parties remain the property of their respective owners.
7. Third-Party Services
The portal may connect with services operated by third parties, including Intuit QuickBooks Online and payment processors. Those services are governed by their own terms and privacy policies. J&A is not responsible for outages or changes caused solely by third-party services.
8. Availability and Changes
J&A may update, suspend, or modify the portal when reasonably necessary for maintenance, security, legal compliance, or business operations. We will make reasonable efforts to communicate material interruptions affecting users.
9. Disclaimer
The portal is provided on an “as available” basis to the extent permitted by law. J&A does not guarantee uninterrupted or error-free operation. Product colors and images displayed electronically may vary from physical products.
10. Limitation of Liability
To the maximum extent permitted by applicable law, J&A will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the portal. Nothing in this Agreement excludes liability that cannot legally be excluded.
11. Suspension and Termination
J&A may suspend or terminate access for violation of this Agreement, suspected fraud, security risks, nonpayment, or discontinuation of the service. You may stop using the portal at any time.
12. Governing Law
This Agreement is governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict-of-law principles.
13. Changes
J&A may update this Agreement periodically. The effective date identifies the latest version. Continued use after an updated Agreement becomes effective constitutes acceptance where permitted by law.
